1. Acceptance
By creating an account or using our APIs, you agree to these Terms, our Privacy Policy, and any service-specific order forms or statements of work. You represent that you are entering the agreement on behalf of a business entity.
2. Services
We provide software, APIs, and infrastructure for B2B telemarketing, call center management, and automation. We may update features or discontinue non-core functionality with reasonable notice.
3. Eligibility
- Customer must be a legally registered business.
- Customer must comply with all telecom, privacy, and anti-spam regulations in every jurisdiction where traffic is originated or terminated.
- Customer may not provide card issuance, money transmission, or consumer financial services using our platform.
Financial services exclusion: Xuanfeng Technologies LLC does not provide banking, card issuance, money transmission, prepaid programs, or any consumer financial services. Our Services are strictly limited to B2B cloud communication functions. Customers may not use the Services to operate card‑issuing, remittance, or prepaid programs.
4. Accounts & Security
You are responsible for safeguarding API keys, credentials, and devices with access to the platform. Notify us immediately of any unauthorized use. We may suspend access to protect the service or comply with law.
5. Acceptable Use
Prohibited activities include illegal telemarketing, unsolicited bulk messaging without consent, fraudulent transactions, card-not-present scams, data scraping, and interfering with platform stability. Violations may lead to immediate suspension.
6. Fees & Payment
Usage is billed monthly in USD according to published rates or executed order forms. Invoices are due within 15 days unless otherwise stated. Late payments may incur finance charges. See the Refund & Billing Policy for dispute handling.
7. Customer Data
You grant us a limited license to process your communications data solely for providing the services. You remain the controller of customer records and must obtain necessary consents.
8. Compliance
You are responsible for complying with the Telephone Consumer Protection Act, GDPR, CAN-SPAM, CASL, and any applicable state or international laws. We may request documentation demonstrating compliance.
9. Warranty Disclaimer
Services are provided "as is". We disclaim implied warranties of merchantability, fitness for a particular purpose, and non-infringement to the extent permitted by law.
10. Limitation of Liability
Our aggregate liability is limited to the fees paid for the affected services in the preceding three months. We are not liable for indirect, consequential, or punitive damages.
11. Term & Termination
The agreement continues until terminated by either party with 30 days’ written notice, or immediately for uncured material breach. Upon termination, you remain responsible for outstanding fees.
11B. Data Return and Deletion
Upon termination, customers may export their data within 30 days. After this period, we may delete or anonymize customer data unless retention is legally required. Earlier export requests may be submitted to legal@xuanfengcloud.com.
11A. Indemnification
You agree to indemnify, defend, and hold harmless Xuanfeng Technologies LLC and its officers, directors, and employees from any claims, damages, fines, or expenses (including reasonable legal fees) arising from (a) your violation of these Terms or applicable laws, (b) regulatory penalties related to unsolicited messaging or telecom misuse, or (c) third‑party claims related to your content or data handling.
12. Governing Law
These Terms are governed by the laws of the State of Wyoming, excluding conflict-of-law rules. Disputes will be resolved in state or federal courts located in Wyoming.
12A. Changes to Terms
We may update these Terms from time to time. Material changes will be communicated via email to the account holder and/or posted on our website. Continued use of the Services after notice constitutes acceptance of the updated Terms. If you do not agree to changes, you may terminate the agreement per the termination clause.
